1. Scope and business use
These Account and Marketplace Terms govern an authenticated user's access to and use of the Signum Logics marketplace. The marketplace is offered for professional and business use, not personal, family, or household use.
For a standard account, the authenticated account holder contracts in the account holder's own capacity. Creating a standard account does not require the account holder to identify, establish, or bind a separate employer, company, or other organization.
A separate enterprise, multi-user, affiliate, exclusive, custom, or negotiated agreement may establish different organization-level rights and controls.
2. Account creation and information
The account holder must provide accurate and current information requested for the account and complete required email verification.
The account holder is responsible for maintaining account information, protecting credentials, restricting use of the account to the authenticated account holder unless Signum expressly authorizes otherwise, promptly reporting suspected compromise, and complying with these Marketplace Terms and any purchase-specific license.
Portal credentials may not be shared or transferred.
Signum may request additional identity, business, billing, tax, or compliance information when reasonably necessary to process a transaction, comply with applicable law, investigate a compliance concern, protect the marketplace, or support a non-standard license arrangement. Such information is not a routine prerequisite to a standard marketplace purchase unless the particular transaction requires it.
3. Marketplace access
The authenticated marketplace allows account holders to review available Intelligence Brief Previews, purchase licenses to selected Intelligence Briefs, and access purchased materials.
A Preview is a limited, anonymized or reduced presentation. It does not grant access to the full Brief, underlying research files, Signum databases, source operations, scoring rules, or unpublished candidates.
The account holder may not scrape, crawl, harvest, or systematically extract marketplace content; use unauthorized automation to collect marketplace or Preview content; circumvent access, purchase, identity, distribution, or technical controls; attempt to access an unpurchased Brief; reconstruct Signum's research system or inventory; misuse Previews to create a substitute product; or interfere with marketplace security or operation.
4. Intelligence Brief purchases
A purchase of an Intelligence Brief is a purchase of a limited license to use the Brief, not a transfer of ownership of the Brief or Signum intellectual property.
For a standard marketplace purchase, the authenticated account holder who completes the purchase and accepts the Purchase License is the Licensee. No separate client-organization record is required for the ordinary purchase.
Each purchase is subject to the Intelligence Brief Purchase License presented for that transaction. If these Marketplace Terms conflict with a purchase-specific license concerning use of a purchased Brief, the purchase-specific license controls.
5. Signum intellectual property
Signum retains its rights in the marketplace, original text, analysis, presentation, selection and organization of information, software, design, branding, trademarks, research methods, and other proprietary materials.
Nothing in these Terms gives Signum ownership of public facts or third-party materials merely because they appear in Signum content.
6. Fees, payment, and taxes
Prices are shown at purchase. The account holder authorizes the stated charge when completing checkout. Unless otherwise stated, prices are in U.S. dollars and the purchaser is responsible for taxes legally imposed on the transaction other than taxes based on Signum's net income.
A purchase is final except where the Signum Accuracy & Verification Commitment, applicable law, or an express written Signum policy provides a refund or other remedy.
7. Accuracy commitment and product boundary
Signum Intelligence Briefs are research intelligence. They are not legal, accounting, investment, credit, underwriting, or financing advice.
Signum does not promise or predict that a company needs financing, intends to borrow, will respond, will transact, is creditworthy, or that the purchaser will win business or earn a profit.
For purchased Briefs, the Signum Accuracy & Verification Commitment applies to material factual statements presented as observed facts, subject to the stated Research As-Of Date or applicable data-as-of date and source boundaries.
The Licensee remains responsible for outreach, diligence, underwriting, compliance, credit decisions, and business judgment.
8. Privacy and electronic records
The current Signum Privacy Notice describes Signum's collection and handling of account, transaction, access, and related information.
The account holder agrees that Signum may provide account, transaction, legal, and operational notices electronically through the marketplace or the account email except where applicable law requires another method.
Signum may retain records reasonably necessary to establish account creation, assent, purchases, license rights, access, security events, and compliance.
9. Suspension and termination
Signum may suspend or terminate marketplace access for material breach, external redistribution or other material misuse, credential compromise or security risk, attempts to circumvent marketplace controls, fraud or unlawful use, or nonpayment.
Where practical and curable, Signum may provide notice and an opportunity to cure. Signum may act immediately where reasonably necessary to protect confidential materials, intellectual property, customers, or system security.
Obligations that by their nature should continue survive termination, including payment obligations, intellectual-property rights, confidentiality, redistribution restrictions, liability limitations, and dispute provisions.
10. Changes
Signum may update these Marketplace Terms.
For a material revision that meaningfully changes contractual rights or obligations, Signum will require affirmative re-acceptance before continued affected use. Ordinary login does not require renewed acceptance.
Non-material clarifications, formatting changes, contact updates, or other changes that do not materially alter rights or obligations may be posted without a new checkbox.
11. Marketplace warranty boundary
Except for the express Accuracy & Verification Commitment applicable to purchased Briefs and any other express written Signum commitment, the marketplace, Previews, and related services are provided on an "as available" basis.
To the maximum extent permitted by law, Signum disclaims implied warranties to the extent they would otherwise apply. This does not disclaim the Accuracy & Verification Commitment.
12. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost revenue, or lost business opportunity arising from these Marketplace Terms.
To the maximum extent permitted by law, Signum's aggregate monetary liability relating to a purchased Brief will not exceed the amount paid for the Brief or Briefs giving rise to the claim. For a claim relating solely to a free account or marketplace access and not to a purchased Brief, Signum's aggregate monetary liability will not exceed $100.
These limits do not reduce the specific refund remedy provided by the Accuracy & Verification Commitment and do not limit liability that applicable law does not permit the parties to limit.
13. Governing law and forum
These Marketplace Terms are governed by California law, without regard to conflict-of-law rules.
Subject to any forum required by law, the state and federal courts located in Los Angeles County, California will have exclusive jurisdiction over disputes arising from these Marketplace Terms.
Nothing prevents Signum from seeking appropriate injunctive or equitable relief to stop unauthorized redistribution, misuse of confidential materials, infringement, or circumvention.
14. General terms
The account holder may not assign these Marketplace Terms or transfer the account without Signum's prior written consent.
Signum may assign these Marketplace Terms in connection with a merger, reorganization, financing, or sale of the relevant business or assets.
If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision once is not a waiver.
15. Production identity
The Signum contracting legal entity for marketplace transactions is RainMakers Private Equity, LLC. Legal notices to Signum may be sent to Jim Soleymanlou, [email protected].
These fields are resolved and this package is authorized for production.
